• Contract and negotiation facilitation
• Reporting and analytics tools
• Customer support and training

3. User Accounts and Registration

To use our Services, you must:

• Create an account with accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use
• Be responsible for all activities under your account
• Be at least 18 years old or have legal authority to enter into contracts

4. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:

• Use the Services for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Infringe on the rights of others
• Upload malicious code or attempt to hack our systems
• Interfere with the proper functioning of the Services
• Use automated tools to access the Services without permission

5. Booking and Transactions

5.1 Platform Role

GrupBlox acts as a platform to facilitate bookings between users. We are not a party to the actual booking contracts between hotels and tour operators.

5.2 User Responsibility

Users are responsible for:

• Accuracy of booking information
• Compliance with their own booking policies
• Payment terms and conditions
• Resolving disputes with booking counterparts

6. Hotel Partner Agreement

By participating as a hotel partner on the GrupBlox platform, you agree to the following specific terms and conditions:

6.1 Platform Access Authorization

You authorize GrupBlox to access and retrieve availability, rates, and inventory information for your hotel property through our platform integration.

6.2 Authorized Representative

The person listed as the point of contact must have proper authorization to execute contract agreements on behalf of your hotel property.

6.3 Information Accuracy

You warrant that all hotel property information provided is accurate, complete, and up-to-date. You are responsible for maintaining the accuracy of this information.

6.4 Publication Rights

You grant GrupBlox authorization to publish on our platform any documentation or details provided, including but not limited to contracts, logos, property images, and agreement deal points.

6.5 Contract Review Responsibility

You agree to thoroughly review all final contracts before approval. By approving any contract through our platform, you acknowledge that GrupBlox is not liable for any errors published after your approval.

6.6 Commission Structure

You agree to pay GrupBlox a 10% commission based on the total value of rooms that are consumed or materialized within any contracted room block facilitated through our platform.

6.7 Quality Control Access

You agree to honor one complimentary room night per quarter for the GrupBlox Quality Control Team to survey your property and ensure it meets our platform distribution requirements. These requests are subject to hotel availability and must be used within the applicable quarter.

6.8 Platform Benefits

You acknowledge that GrupBlox provides time-saving tools and revenue generation opportunities for your property, and you agree to make the most of these benefits in your business operations.

7. Fees and Payment

Our pricing is available on our website and in your service agreement. By using our Services, you agree to pay all applicable fees. We reserve the right to:

• Change our pricing with 30 days' notice
• Suspend services for non-payment
• Charge interest on overdue amounts
• Recover collection costs for unpaid fees

8. Intellectual Property Rights

The Services and all content, features, and functionality are owned by GrupBlox and are protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute our content
• Reverse engineer our software
• Use our trademarks without permission
• Create derivative works based on our Services

9. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers and Limitations

10.1 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to our Services. We may suspend or discontinue Services for maintenance, updates, or other reasons.

10.2 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRUPBLOX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICES.

12. Indemnification

You agree to indemnify and hold GrupBlox harmless from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any rights of another party.

13. Termination

Either party may terminate your account at any time. Upon termination:

• Your access to the Services will cease
• You remain liable for any outstanding fees
• Certain provisions of these Terms will survive termination
• We may retain your data as required by law

14. Governing Law and Disputes

These Terms are governed by the laws of the State of California, United States. Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
